PRE-REGISTRATION NOTICE: The Wick, Inc. is not currently registered as an investment adviser with the U.S. Securities and Exchange Commission or any state securities authority. Joining the waitlist does not create an advisory relationship, does not constitute an offer of advisory services, and does not obligate The Wick, Inc. to provide any investment services. Separate terms governing advisory services will be provided at the time of platform launch.

1. Agreement

These Terms and Conditions (“Terms”) govern your access to and use of the Wick waitlist, SMS program, and related services operated by The Wick, Inc. (“Wick,” “we,” “us,” or “our”) at thewick.com. By submitting your phone number and joining the Wick waitlist, you agree to these Terms and our Privacy Policy, which is incorporated by reference.

2. Eligibility

You must be at least 18 years of age and a resident of the United States to participate in the Wick waitlist and SMS program. By joining, you represent and warrant that you meet these requirements. We reserve the right to verify eligibility and remove any participant who does not meet these requirements.

3. Nature of the Waitlist

The Wick waitlist is a pre-launch registration program only. Joining the waitlist:

  • Does not guarantee access to the Wick platform or any investment advisory services
  • Does not create an investment advisory relationship between you and The Wick, Inc.
  • Does not constitute an offer or solicitation to provide investment advisory services
  • Does not constitute financial, investment, legal, or tax advice of any kind

The Wick, Inc. is not currently registered as an investment adviser. When we obtain registration and launch advisory services, participation will be governed by separate client agreements and disclosures provided at that time, including a Form ADV brochure as required by applicable securities law. We reserve the right to determine eligibility, access timing, and waitlist structure at our sole discretion.

4. SMS Program Terms

By completing phone number verification, you expressly consent to receive recurring automated text messages from The Wick, Inc. at the number provided, using an automatic telephone dialing system. These messages relate to your waitlist status, product launch updates, and platform access. Consent is not a condition of any purchase or future access to the Wick platform.

  • Message frequency varies based on waitlist activity and launch milestones
  • Carrier rates: standard message and data rates may apply
  • To opt out: reply STOP to any message — you will receive a single confirmation and no further messages
  • To re-subscribe: text START to the same number

Wick is not responsible for any fees charged by your wireless carrier. Participation in SMS communications is not required to access the Wick platform once it launches.

5. Referral Program

Wick may offer a referral-based waitlist advancement program. If offered:

  • Each verified user may receive a unique referral link
  • Successful referrals (resulting in a verified signup by an eligible participant) may improve your waitlist position
  • Referral abuse, including the use of fake numbers, bots, self-referral schemes, or fraudulent signups, will result in removal from the waitlist and forfeiture of any position improvements obtained through such abuse
  • Phone numbers collected through fraudulent referral activity may be deleted from our systems

Wick reserves the right to modify, suspend, or discontinue the referral program at any time without notice. Waitlist position improvements are not transferable and have no monetary value.

6. Acceptable Use

You agree not to:

  • Submit false, misleading, or fraudulent information
  • Use automated tools, bots, or scripts to join or manipulate the waitlist
  • Attempt to gain unauthorized access to Wick systems or data
  • Use Wick communications for any unlawful purpose
  • Circumvent, disable, or otherwise interfere with security features of thewick.com

Violation of these restrictions may result in immediate removal from the waitlist and prohibition from future access to the Wick platform.

7. Intellectual Property

All content, branding, and materials associated with The Wick, Inc. and thewick.com, including the Wick name, logo, and trademarks, are the property of The Wick, Inc. and protected by applicable intellectual property laws. Nothing in these Terms grants you any license or right to use Wick’s name, logo, trademarks, or other proprietary materials.

8. Disclaimers

THE WICK WAITLIST AND SMS PROGRAM ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE UNINTERRUPTED SERVICE, DELIVERY OF ALL MESSAGES, OR ACCESS TO THE WICK PLATFORM ON ANY PARTICULAR TIMELINE.

THE WICK, INC. IS NOT CURRENTLY A REGISTERED INVESTMENT ADVISER. NOTHING ON THE WICK WEBSITE, IN WICK SMS MESSAGES, OR IN ANY OTHER WICK COMMUNICATION CONSTITUTES FINANCIAL, INVESTMENT, LEGAL, OR TAX ADVICE, OR AN OFFER OR SOLICITATION OF ADVISORY SERVICES. INVESTMENT ADVISORY SERVICES WILL ONLY BE PROVIDED PURSUANT TO A SEPARATE WRITTEN CLIENT AGREEMENT FOLLOWING THE FIRM’S REGISTRATION WITH APPLICABLE SECURITIES AUTHORITIES. INVESTING INVOLVES RISK, INCLUDING THE POSSIBLE LOSS OF PRINCIPAL.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE WICK, INC. AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR PARTICIPATION IN THE WAITLIST, YOUR USE OF OUR SMS COMMUNICATIONS, OR YOUR RELIANCE ON ANY CONTENT AT THEWICK.COM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS SHALL NOT EXCEED $100.

10. Indemnification

You agree to indemnify, defend, and hold harmless The Wick, Inc. and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or related to your violation of these Terms, your misuse of the waitlist or SMS program, or your submission of false or fraudulent information.

11. Modifications

We may update these Terms at any time. For material changes, we will provide at least 14 days’ notice via SMS or by posting the updated Terms at thewick.com before the changes take effect. Your continued participation in the waitlist or SMS program after the notice period constitutes acceptance of the revised Terms. If you do not accept the changes, you may opt out by replying STOP to any message or emailing support@thewick.com.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Wick waitlist and SMS program shall be resolved exclusively in the state or federal courts of competent jurisdiction located in Delaware, and you consent to the personal jurisdiction of those courts.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms will remain in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and The Wick, Inc. with respect to the Wick waitlist and SMS program and supersede all prior communications, representations, or agreements relating to the same subject matter.
